Waiver fee
Also known as: consent fee, amendment fee
status: draft
A fee charged by capital providers to waive a covenant breach, consent to an amendment, or forbear from exercising remedies. Typical range is $10,000-$50,000 flat or 10-25 basis points on facility size.
What to watch
Waiver fees are negotiable but expect to pay something for capital provider time and credit committee attention. Repeated waivers signal structural problems and will erode lender patience and economics over time.
